XVIII. Dispute Resolution and Individual Arbitration Agreement
Except for a claim that may be brought in small claims court, you and Melting Pot agree to resolve any covered dispute with the process described below in this dispute resolution and individual arbitration agreement (“Dispute Resolution Agreement”), which includes an agreement to give up any rights to litigate claims in a court or before a jury or to participate in a class action or representative action with respect to a claim. other rights that you would have if you went to court, such as access to discovery, also may be unavailable or limited in arbitration.
Covered Disputes and Arbitration Requirement. Any and all disputes between you and Melting Pot, including disputes arising from or relating to Melting Pot Services, these Terms of Use, the Privacy Policy, and any other terms and conditions that may apply to our programs and services and their interpretation or the breach, termination, or validity thereof, including disputes about the validity, scope, or enforceability of this arbitration provision (collectively, “Covered Disputes”) will be resolved by binding arbitration. Arbitration shall be administered by JAMS pursuant to the JAMS Streamlined Arbitration Rules & Procedures, available at www.jamsadr.com. To the extent this arbitration agreement conflicts with the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards for Procedural Fairness (the “Minimum Standards”), then the Minimum Standards shall take precedence. This arbitration agreement applies to any and all disputes occurring before or after this agreement and supersedes our previous arbitration agreements, subject to the right to opt-out described below. Except as otherwise stated herein, the arbitrator will have the power to grant whatever relief would be available in court under law or in equity and any award of the arbitrator(s) will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. You and we agree that any request for public injunctive relief may be brought only in state or federal court in Hillsborough County, Florida, where you and we consent to personal jurisdiction and venue and waive any right to a jury trial. Notwithstanding the above, you or Melting Pot can bring any individual claim in small claims court consistent with the jurisdictional limitations of such court.
Governing Law. For purposes of this section, these Terms of Use and related transactions will be subject to and governed by the Federal Arbitration Act, 9 U.S.C. Sections 1-16 (“FAA”). To the extent state law applies to any portion of a proceeding brought by you or us, the applicable law will be the law of the state of your residence, as determined based on the information on file with Melting Pot. This paragraph controls over any inconsistent provision in Section XVI.
Fees and Costs. The JAMS consumer rules will apply to determine the costs and expenses due from each party. In addition, if you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, you may be eligible for a waiver of fees under JAMS’s rules.
Mass Arbitration. If 25 or more demands for arbitration are filed within six months relating to the same or similar subject matter and sharing common issues of law or fact, and counsel for the parties submitting the demands are the same or coordinated in any fashion, you and we agree that this will constitute a “Mass Arbitration.” If a Mass Arbitration is commenced by either party, you and we agree that (i) the JAMS Mass Arbitration Procedures and Guidelines shall apply, and (ii) the Process Administrator appointed by JAMS shall group the arbitration demands into batches of at least 25 and provide for resolution of each batch with one set of administrative fees and a single arbitrator assigned per batch. If more than 500 arbitration demands are filed in a Mass Arbitration, then the Process Administrator shall group the arbitration demands into batches of at least 100. If more than 2500 arbitration demands are filed in a Mass Arbitration, then the Process Administrator shall group the arbitration demands into batches of at least 500.
Location. At your election, the arbitration will take place in the county in which you reside or, if you choose, by telephone, video conference, or based on the parties’ written submissions.
Required Pre-Arbitration Dispute Resolution. Prior to initiating any arbitration, the initiating party will give the other party at least 60 days' advanced written notice, along with any supporting documents and information, of its intent to file for arbitration (“Notice of Dispute”). Melting Pot will provide the Notice of Dispute by e-mail to your e-mail address on file with Melting Pot and you must provide the Notice of Dispute by e-mail to [email address]. The Notice of Dispute must be personally signed with wet ink or digital signature (e.g., DocuSign) by you or a responsible employee of Melting Pot. During such 60-day notice period, the parties will endeavor to settle amicably by mutual discussions any Covered Dispute and the statute of limitations period will be tolled 60 days from the date the Notice of Dispute is received. Failing such amicable settlement and expiration of the notice period, either party may initiate arbitration. This provision is a precondition to any arbitration demand, and any party making an arbitration demand must certify that it has complied in good faith with the requirement when filing an arbitration demand and JAMS may not accept any demand without this certification.
Class Action Waiver. Melting Pot and you agree that any covered dispute submitted to arbitration or court will be on an individual basis only (except as set forth in the “Mass Arbitration” provision described above). Neither Melting Pot nor you are entitled to arbitrate any covered dispute as a class, representative or private attorney action (except as set forth in the “mass arbitration” provision described above) and the arbitrator(s) will have no authority to proceed on a class, representative or private attorney general basis (except as set forth in the “mass arbitration” provision described above). If any provision of the agreement to arbitrate in this section is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced (but in no case will there be a class, representative or private attorney general arbitration).
Right to Opt Out of this Arbitration Agreement. You may opt out of this Dispute Resolution Agreement within the first 30 days after the earliest of the first time you make an online purchase, create an account, or otherwise sign up for any program or service provided by Melting Pot. You may opt out by sending an email to Melting Pot at [email address] or by sending a letter to Melting Pot Legal Department, 7886 Woodland Center Blvd., Tampa, FL 33614. You should include your printed name, mailing address, and the words “Reject Arbitration.”
Miscellaneous. Notwithstanding any provision in these Terms of Use to the contrary, we agree that if Melting Pot makes any future material change to this Dispute Resolution Agreement, it will not apply to any individual claim(s) for which you had already provided notice to Melting Pot. If this Dispute Resolution Agreement does not apply to a given dispute, then the parties agree to the exclusive jurisdiction of the state and federal courts in Hillsborough County, Florida to resolve such claims.

Any cause of action you may have arising out of or relating in any way to Melting Pot Services must be commenced within one (1) year after the claim or cause of action arises, except that this period does not apply where applicable law prohibits contractual shortening of the limitations period, and it is tolled during any mandatory pre-dispute process under Section XVII. No waiver by you or Melting Pot of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the parties. A failure or delay in exercising a right or remedy is not a waiver, and a partial exercise does not preclude any other or further exercise.
XXII. Severability
Except for the severability provisions in Section XVII, if a court of competent jurisdiction finally determines any provision of these Terms of Use is unenforceable, such provision shall be enforced to the maximum extent permissible to give effect to its intended purpose, and the remaining provisions will remain in full force and effect.
